Upgrade Mysql 3.23 installation to 4.1 on Debian 3.0 GNU/Linux

Our development server has a Mysql 3.23 database, which we need to get upgraded to 4.1. phpmyadmin is already installed, and should work with the 4.1 upgrade. All the user-dbs currently under the 3.23 to the 4.1 install.
