Custom csv file convert and upload to Magento Commerce AUTOMATED with EXTRAS

I am looking for 2 functions to occur: #1 - Take client file from old accounting software (xls file) off a dump ftp and automatically convert it to be recognized in my Magento client database and do one of 2 things: 1 - If client exists, update 5-6 fields ONLY (based on my specifications) on Magento client database 2 - If client does NOT exist, create a new client in Magento client database and assign username and password (could be generic password or auto-generated, as long as the standard registration email from Magento still gets sent out to client). #2 - Take my inventory file from old accounting software (xls file) off a dump ftp and automatically analyze base don SKU if item exists in current database. - If exists, validate if the item has a special tag on it that means it is Discontinued. If discontinued, remove from Website inventory. If not discontinued, continue to update only certain fields including base price, quantity on hand, and a few more fields which will be discussed in private. - If does not exist, create an item in Magento database, assign it to a special category for updating (where i can create long description, attach images etc. It will need to add all other things to the product including quantity, base price, manufacturer and other fields available from accounting software (some fields will NOT be available and will need to be added manually by site admin after it is imported) Both scripts need to be set up on server admin side and run automatically once an hour. MUST WORK EXACTLY AS DESCRIBED WITHOUT ANY ALTERATIONS TO FUNCTIONALITY DESCRIBED!
