Business plan - shares distribution

I need an expert to develop a business paln for a partnership water engineering business. It is a limited partneship between 2 parties as the following: Party one: Provides business office, basic salary for party 2 for the first year period, networking and marketing. Party two: Provide engineering expertise (25 years experience and PhD holder). What I am looking for is an approach to evaluate a fair distribution of the shares (percentage of profits for each party), when and how to be distributed.
