Stock SOFTWARE DEVELOPMENT AGREEMENT for all exchanges worldwide

This stock Software only Development Agreement ("Agreement") is entered into on [Date] (the "Effective Date"), by and between:

[Your Company Name], a [Legal Entity Type] organized under the laws of [Jurisdiction], with its principal place of business at [Address] (hereinafter referred to as the "Client"),

and

[Developer's Name], an individual/legal entity, organized under the laws of [Jurisdiction], with its principal place of business at [Address] (hereinafter referred to as the "Developer").

Collectively, the Client and the Developer may be referred to as the "Parties."

BACKGROUND:

1. The Client is desirous of developing a cryptocurrency software product ("Product").

2. The Developer possesses the necessary skills and expertise in cryptocurrency and software development.

AGREEMENT:

1. Scope of Work: The Developer agrees to develop and deliver the Product according to the specifications and requirements outlined in Exhibit A, attached hereto and incorporated by reference.

This contract proposal is a fixed and not a milestone payment development contract for $2700

2. Payment: In consideration of the Developer's services, the Client agrees to pay the Developer the fees as detailed in Exhibit attached hereto and incorporated by reference.

3. Deliverables: The Developer shall deliver the Product as outlined in the project specified .

4. Intellectual Property: a. All intellectual property rights, including but not limited to copyrights and patents, in the Product and any related materials shall remain the property of the Client. b. The Developer hereby grants the Client a non-exclusive, royalty-free license to use, modify, and distribute the Product solely for its intended purpose.

5. Confidentiality: Both Parties agree to keep confidential any non-public information exchanged during the course of this Agreement.

6. Indemnification: The Developer agrees to indemnify and hold harmless the Client from any claims, losses, or damages arising out of the Developer's breach of this Agreement or any infringement of intellectual property rights.

7. Termination: Either Party may terminate this Agreement in the event of a material breach by the other Party, subject to a [X]-day notice period.

8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
