Set Up Magento Development Site for Shop

We are in the process of updating to a new Magento Theme for our current online lighting store. Therefore, we need to have a development environment created while we finish building out the online store on the new theme. Currently, the development area is live and has the new theme installed. Now, we just need to copy files from our current store onto the development site. Below are a list of tasks
1. Put up a Magento under maintenance page on the development store.
2. Make the site non-searchable in Google and other search engines to avoid duplicate content issues.
We need a quick turnaround. Successful completion of this project can lead to long term work.
