I need a lawyer to draft up a legal agreement between myself (a wholesaler) and my clients (the resellers). Due to a variety of issues, I need to have an agreement which is -
1. A storage agreement. I want to have my stock stored on location in my client's warehouses. This will be very similar to an agreement to have the stock in their warehouse on consignment, but I do not wish to transfer any legal ownership of the stock and I will pay the client a commercial rate for storing the goods. I must be able to get access to the goods given reasonable notice and the client (the storer in this case) cannot dispute my rights of access.
2. An agency agreement. The client is allowed to offer my goods for sale to their client base as my agent. Therefore I get to determine the manner in which they are sold and in order to maintain the agency agreement they need to accept that they sell the goods as my agent (in other words I don't want them to be able to undercut the other agents by flogging the products at discounted pricing).
3. A supply agreement. In return for the client agreeing to the above two agreements I will supply them with the products at an agreed discount and I expect payment at the time that their customer pays them.
So to put it in plain English - I will ship the products to them at my expense, I will pay them to store the products in their warehouse, and I will maintain ownership of the products. They will receive payment for handling goods in and out, and payment for other services provided. They will be allowed to sell my products to their client base on an agreed agency relationship and payment for the goods will be forwarded to me at the same time the customer pays the client.
The agreements will need to be written with the jurisdictions of Australia and the USA in consideration.
I have a similar product supply agreement on file which I obtained from a supplier of mine a few years ago. I can supply this to the successful freelancer to use as a template.
